ORA MEMBERSHIP AGREEMENT (NEW YEAR, NEW YOU MEMBERSHIP)
This Membership Agreement (this “Agreement”) is entered into between KSR Venture., dba ORA Inc., with offices located at 30 Hudson Yards Fl 72 (KSR”), and you the member. ORA is a business offering acupuncture services and sells retail products.
BENEFITS: This Agreement entitles members access to discounts and/or other benefits on services and products offered by ORA. Please see the membership page for details and limitations. ORA reserves the right to update, suspend or end the program without prior notice, in our sole discretion. You will be notified via email if changes are made to the membership benefits.
USE OF MEMBERSHIP: Your membership is non-transferable. You are limited to one guest pass per calendar year.
TERM: The term of this Agreement is effective for a period of three (3) months following the membership enrollment date and will continue on a month-to-month basis until you cancel the membership.
PURCHASES AND PAYMENT:
Payment: Monthly memberships are paid in advance monthly and are paid on the calendar date in which the member became activated, charged on a 30 day cycle. Regular monthly payment dues apply thereafter. Monthly membership payments shall be made via auto debited payment ,credit card, debit card or ACH account draft.
Payment Terms:
In the event of a declined credit card/debit card payment, the member’s account will be suspended pending the member updating their payment information and their outstanding membership dues paid in full.
Credit Card on File: Members may keep a credit card on file using their ORA account online. By placing a card on file, the cardholder and account holder gives permission to ORA and its staff to charge the card for auto payment and/or cancellation fees according to the policy stated above.
Auto-Debit: By enrolling in an auto-debit contract, you authorize ORA to automatically charge the debit or credit card account you provided on a recurring basis for the monthly payments on your membership plan on the billing due date.
You understand and acknowledge that:
1) ORA will initiate charges pursuant to this authorization note to exceed the amount on your membership agreement and/or in connection with cancellation fees per the cancellation policy.
2) If ORA is not able to secure funds from the debit or credit card provided, due to, but not limited to, insufficient funds or uncollected funds in the account or insufficient or inaccurate information provided.
3) If you are booking in a session past the subsequent billing date, and your debit card/ credit card fails to bill properly, you may be contacted by our concierge via email or phone call.
4) It is the responsibility of the member to inform ORA of any updates to the debit or credit card and to keep a current card on file with accurate billing information. ORA will not be held responsible for errors due to expired or inaccurate information.
FREEZE POLICY:
Members will have an unlimited roll-over of unused sessions in the first year. After the first year, members with a monthly membership may put their membership on hold, in one-month increments, for up to 3 calendar months.
A fee of $30 will be charged per freeze request. Notice of intent to freeze one’s account must be submitted to ORA via email at concierge@oraspace.com no less than seven (7) business days prior to the freeze date. The freeze request must include both freeze start and reactivation date. Members will not be billed for membership during the freeze months. Billing will automatically restart upon the end of the freeze months.
CANCELLATION POLICY:
This Membership Agreement and your membership may be cancelled upon receipt of written notice via email or a letter mailed first-class. You must provide ORA written notice of your intent to cancel and reason for cancellation, no less than thirty (30) days prior to the due date of your next billing payment. Failure to provide timely notice will result in a charge for the full amount of your next billing payment. The cancellation will take effect the following month.

If you cancel your membership before the three (3) month term, you can cancel at any time by paying $240 for early cancellation.
If, at the time of receipt of your cancellation notice, you have outstanding payments owed to ORA , these payments must be paid in full in order for the Membership Agreement to be considered cancelled. In the event that you fail to pay outstanding amounts owed, your membership will be considered suspended, the Membership Agreement will not be cancelled, and ORA s reserves the right to pursue other means to retrieve outstanding dues owed.
